These Terms and Conditions govern the purchase and use of CPD Sparks subscriptions, resources and services.
By purchasing a CPD Sparks subscription, accessing the members' area or downloading subscriber resources, you agree to these Terms and Conditions on behalf of the subscribing school or organisation.
1. About CPD Sparks
CPD Sparks provides digital professional development resources for schools and educational settings.
Resources may include presentations, scripts, narrated materials, downloadable documents, professional development activities, links to external research and resources, and other educational materials.
CPD Sparks is designed to support professional development and reduce the preparation required by school leaders. Resources should always be considered alongside the individual school's policies, professional judgement, statutory responsibilities and local context.
2. Annual Membership
CPD Sparks membership is purchased as an annual subscription.
Unless otherwise stated at the point of purchase, membership provides the subscribing school or organisation with access to the CPD Sparks membership library for 12 months from the start of the subscription.
Membership includes access to the resources available within the relevant subscription during the active membership period.
The content of the library will develop and change over time. CPD Sparks reserves the right to add, update, replace, reorganise or remove resources where necessary.
3. Automatic Renewal
CPD Sparks subscriptions automatically renew at the end of each annual subscription period unless cancellation is requested before the renewal date.
By purchasing a subscription, you authorise CPD Sparks and/or its payment provider to collect the applicable annual subscription fee using the payment method associated with your account.
Schools wishing to prevent their subscription from renewing must contact CPD Sparks before their renewal date.
Cancellation of automatic renewal will not terminate the current subscription. Access will continue until the end of the subscription period already purchased.
4. Subscription Prices
Subscription prices will be displayed on the CPD Sparks website at the time of purchase.
CPD Sparks reserves the right to change subscription prices.
Where the price of a renewing subscription is due to change, we will provide reasonable notice of the new price before the renewal takes place.
Any applicable VAT or other taxes will be identified where required.
5. Cancellation and Refunds
CPD Sparks subscriptions provide access to digital content and downloadable resources.
Once membership access has been activated, annual subscription payments are generally non-refundable, including where a school chooses not to use or fully access the resources during its subscription period.
Schools are encouraged to explore the free sample resources available on the CPD Sparks website before purchasing.
Where a school cancels its subscription, cancellation will normally prevent the next annual renewal rather than provide a refund for the current subscription period.
Nothing within these Terms and Conditions is intended to restrict any statutory rights or legal remedies that cannot lawfully be excluded.
6. Free Sample Resources
CPD Sparks may make selected resources available free of charge, including sample sessions from CPD topic areas.
Free resources are provided to allow prospective members to explore the CPD Sparks approach before purchasing a subscription.
The availability of a free resource does not transfer ownership of the content or intellectual property rights to the person or organisation downloading it.
Free resources remain subject to the relevant usage and intellectual property restrictions contained within these Terms.
7. Use of CPD Sparks Resources
A school or organisational subscription permits CPD Sparks resources to be used internally within the subscribing organisation during the period of membership.
Resources may be used for purposes including:

staff meetings;

internal professional development;
-
INSET and training;
-
team or phase meetings;
-
leadership development; and
-
individual professional learning.
Unless expressly agreed otherwise, a subscription relates to one subscribing school or organisation.
Where an academy trust, federation, local authority, training provider or other organisation wishes to use resources across multiple schools or settings, separate subscriptions or an appropriate multi-site agreement may be required.
Please contact CPD Sparks to discuss the appropriate licence.
8. Sharing and Redistribution
CPD Sparks resources are provided for the internal use of the subscribing organisation.
Resources must not be:

shared with another school or organisation that does not hold an appropriate subscription;

uploaded to publicly accessible websites, shared drives or resource platforms;
-
sold or resold;
-
distributed commercially;
-
reproduced as another training product;
-
made publicly available online; or
-
presented as the original work of another individual or organisation.
Subscription login details should not be deliberately shared with individuals outside the subscribing organisation.
9. Editing and Adapting Resources
Where CPD Sparks provides resources in an editable format, subscribing schools may make reasonable adaptations for their own internal use.
For example, schools may add references to their own policies, procedures, priorities or school context.
Editing a resource does not transfer ownership of the underlying CPD Sparks content or intellectual property.
Adapted resources must not be sold, commercially distributed or shared outside the subscribing organisation without prior written permission from CPD Sparks.
10. Intellectual Property
Unless otherwise stated, CPD Sparks owns or licenses the intellectual property rights in the original content provided through the platform.
This includes, where applicable, presentations, written materials, scripts, graphics, training structures, downloadable resources and other original content.
Purchase of a subscription provides a limited right to access and use these materials in accordance with these Terms. It does not transfer ownership of the materials or associated intellectual property.
Third-party materials, research, videos, websites and publications referenced within CPD Sparks remain the property of their respective owners and may be subject to separate terms of use.
11. Access to Membership
Members are responsible for ensuring that the information associated with their account is accurate and kept up to date.
CPD Sparks may suspend or restrict access where there is reasonable evidence of:

unauthorised sharing of resources;

misuse of membership credentials;
-
redistribution or resale of CPD Sparks materials;
-
infringement of intellectual property rights;
-
fraudulent activity; or
-
a material breach of these Terms.
Where appropriate, we will attempt to contact the subscriber before taking such action.
12. New and Updated Content
CPD Sparks is a developing professional development platform.
New resources and topic areas may be added during a subscription period.
Unless otherwise stated, resources added to the standard membership library will be available to members with an appropriate active subscription.
CPD Sparks does not guarantee that a particular number of new resources, sessions or topic areas will be released within any particular period.
13. Content Requests
Members may be able to suggest future topics through a CPD Sparks content request form or other communication channels.
We welcome suggestions and may use these to inform future content development.
Submission of a request does not guarantee that the requested resource will be created or that it will be produced within a particular timeframe.
14. Educational and Professional Responsibility
CPD Sparks provides professional development materials for educational purposes.
While reasonable care is taken when creating and reviewing content, CPD Sparks resources do not replace:

statutory guidance;

safeguarding requirements;
-
school policies;
-
professional advice;
-
local authority or trust procedures; or
-
the professional judgement and responsibilities of school leaders and staff.
Schools remain responsible for ensuring that their policies, procedures and professional practice comply with current legislation and statutory guidance.
Where CPD Sparks references external research, guidance, websites or resources, those materials may subsequently be amended, moved or withdrawn by their respective publishers.
15. Safeguarding Content
Safeguarding prompts and discussions within CPD Sparks are intended to support ongoing professional awareness and discussion.
They should not be treated as a substitute for statutory safeguarding training, school-specific safeguarding procedures or the advice and direction of the school's Designated Safeguarding Lead.
Schools remain responsible for ensuring that all statutory safeguarding training and requirements are met.
16. Availability of the Website
We aim to provide reliable access to CPD Sparks but cannot guarantee that the website or membership area will be available continuously or without interruption.
Access may occasionally be restricted due to maintenance, updates, technical problems or circumstances outside our reasonable control.
Where possible, we will aim to minimise disruption.
17. Third-Party Links and Resources
CPD Sparks resources may contain links to external websites, research, videos or other third-party content.
These links are provided for information and professional development purposes.
CPD Sparks does not control third-party websites and cannot guarantee their continued availability, accuracy, content or security.
Users should follow the terms and privacy policies of any third-party services they access.
18. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so.
Subject to applicable law, CPD Sparks will not be responsible for indirect or consequential losses arising from the use of its resources or services.
Schools and organisations remain responsible for decisions made about their own professional practice, policies, procedures, staff development and implementation of CPD.
19. Changes to These Terms
CPD Sparks may update these Terms and Conditions from time to time to reflect changes to the service, legislation, payment arrangements or business operations.
The most current version will be published on the CPD Sparks website.
Where a change materially affects an existing subscription, we will take reasonable steps to communicate the change where appropriate.
20. Privacy and Data Protection
Personal information collected through CPD Sparks will be handled in accordance with our Privacy Policy and applicable UK data protection legislation.
Our Privacy Policy should be read alongside these Terms and Conditions.
21. Governing Law
These Terms and Conditions and any dispute or claim arising from them will be governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, subject to any rights or protections that applicable law provides otherwise.
